1. Scope
1.1. These General Terms and Conditions (hereinafter “GTC”) apply to all contracts concluded via our online shop at grenadecompany.eu
between
3rd Light GmbH, Florianstr. 2, 49632 Essen-Bevern – operating under the brand Enola Gaye –
and you, the customer.
1.2. The GTC apply both to consumers (§ 13 German Civil Code – BGB) and to entrepreneurs (§ 14 BGB) and merchants.
1.3. We do not recognize any terms of the customer that differ from or contradict our own unless we have expressly agreed to them in writing.
1.4. Our customers must be at least 18 years old.
2. Conclusion of Contract
2.1. The presentation of products in the online shop does not constitute a legally binding offer, but an invitation for the customer to make an offer.
2.2. By clicking the button “order with obligation to pay,” you submit a binding offer to purchase the goods in your shopping cart.
2.3. By submitting the order, you confirm that you have reached the legally required minimum age for the products concerned and that you have provided accurate information about yourself.
2.4. Receipt of your order is confirmed immediately by email (order confirmation). This does not yet constitute acceptance of the contract.
2.5. The purchase contract is only concluded through our express declaration of acceptance (e.g. shipping confirmation) or by delivery of the goods.
2.6. If the goods are not available, we reserve the right to reject the offer. Any payments already made will be refunded immediately.
3. Right of Withdrawal
Consumers have a statutory right of withdrawal. Details can be found in our withdrawal policy on the website and provided at the time of contract conclusion.
4. Delivery and Shipping
4.1. We are entitled to make partial deliveries where reasonable for you.
4.2. Where age verification is required by law, the logistics provider is instructed to deliver only to persons who meet the minimum age requirement and may request identification.
5. Prices and Shipping Costs
5.1. All prices include statutory VAT plus shipping costs.
5.2. Current shipping costs are shown in the online shop and will be displayed separately during the ordering process.
5.3. For partial deliveries, shipping costs are charged only for the first delivery, unless otherwise agreed.
6. Payment Terms, Offsetting, and Right of Retention
6.1. Payment must be made promptly after invoicing by bank transfer or direct debit authorization.
6.2. Offsetting against our claims is only permitted if your counterclaims are undisputed or have been legally established.
6.3. A right of retention may only be exercised with claims arising from the same contractual relationship.
7. Retention of Title
The goods remain our property until full payment has been made. You may resell the goods in the ordinary course of business as long as you are not in default. Pledging or transfer of ownership by way of security is not permitted. Claims arising from resale are hereby assigned to us as security.
8. Warranty
8.1. Statutory warranty rights apply. The limitation period is two years from delivery of the goods.
8.2. Any manufacturer guarantees remain unaffected.
9. Liability
9.1. We are always liable under statutory provisions for damages resulting from injury to life, body, or health.
9.2. For other damages, we are fully liable in cases of intent or gross negligence.
9.3. In cases of slight negligence, we are only liable for breaches of essential contractual obligations (“cardinal obligations”) and only for foreseeable, typical damages.
9.4. Liability under the German Product Liability Act remains unaffected.
10. Use and Storage of Products
Please observe the instructions for proper storage and use of the products. Products may not be supplied to persons under 18 years of age.
11. Copyrights
The images, videos, texts, and other content published in our online shop are protected by copyright and may not be used or reproduced without our express consent.
12. Applicable Law and Jurisdiction
12.1. The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
12.2. If the customer is a merchant based in Germany, the exclusive place of jurisdiction for all disputes arising from this contract is Oldenburg.
12.3. Consumers may rely on the statutory provisions regarding jurisdiction.
